豁免和扣留數(shù)額-中英對(duì)照
作為承包商的任何支付的先例，招攬機(jī)構(gòu)可以要求承包商提交任何的完整的棄權(quán)說(shuō)明書和和任何人員、機(jī)構(gòu)或者勞務(wù)公司、服務(wù)、有關(guān)設(shè)備或者材料的公司的所有索賠豁免材料，或者任何有關(guān)與施工有關(guān)的材料。按照要求，承包商也必須提供所有這樣索賠已經(jīng)滿意的可接受證據(jù)。

另外，所有支付承包商的金額，招攬機(jī)構(gòu)可以在下列情況下予以扣留，如果：

A. 任何招攬機(jī)構(gòu)對(duì)承包商正式提出索賠沒有受理， 或者，如果招攬機(jī)構(gòu)要求按照所在國(guó)的法律法規(guī)，通過(guò)沙特阿拉伯政府扣留這些金額；或者
B. 承包商在缺少這份合同的任何條件或者條款時(shí)；或者
C. 有合理的懷疑這份合同在規(guī)定時(shí)間內(nèi)完成，如果承包商是，或者合同價(jià)格的余額未付，或者承包商沒有按照合同條款履行義務(wù)時(shí)。

如果招攬機(jī)構(gòu)不滿意上述扣留的原因，必須立即支付扣留金額。如果上述扣留的原因在對(duì)承包商的書面通知之后，沒有迅速解除，招攬機(jī)構(gòu)要求承包商支付糾正的開支，并且扣除因此造成的所有費(fèi)用和花費(fèi)，或者可能將到期的開支。如果扣留的部分，在本合同條款規(guī)定下，不足以支付這樣的費(fèi)用，或者在最后的款項(xiàng)支付之后發(fā)生，承包商和它的保證人或者保證人，如果有，必須迅速支付因此招致任何費(fèi)用給招攬機(jī)構(gòu)，出現(xiàn)這樣的索賠或者，索賠可以強(qiáng)加給一個(gè)永久施工項(xiàng)目的留置權(quán)或者房地產(chǎn)、永久施工項(xiàng)目或者任何屬于皇室委員會(huì)其它財(cái)產(chǎn)。
P-4 資金的轉(zhuǎn)讓
按照本合同規(guī)定，承包商不得分配到期的資金， 或者未經(jīng)招攬機(jī)構(gòu)書面許可，承包商的銀行除外。 如果招攬機(jī)構(gòu)，同意這樣的資金轉(zhuǎn)讓，在支付到期前至少10數(shù)天，書面通知招攬機(jī)構(gòu)。

任何資金的分派以招攬機(jī)構(gòu)適當(dāng)?shù)牡咒N利益為準(zhǔn)，并扣除本合同所有的扣留金額。

P-3  RELEASES AND WITHHELD AMOUNTS
As a condition precedent to making any payments to the Contractor, the Soliciting Agency may require Contractor to submit complete waivers and releases of any and all claims of any person, firm or corporation supplying labor, services, equipment or materials in connection with, or in any way related to, the performance of the Work. Upon request, the Contractor shall also furnish acceptable evidence that all such claims have been satisfied.
In addition, any amounts otherwise payable to the Contractor hereunder may be withheld, in whole or in part, by the Soliciting Agency if:
A.  Any claims are filed against Contractor by Soliciting Agency, or if Soliciting Agency is required to withhold such amounts by the Government of Saudi Arabia pursuant to the laws and regulations of the Kingdom; or
B.  Contractor is in default of any of the terms or conditions of this Contract; or
C.  There is reasonable doubt that this Contract can be completed within the time specified, or for the balance of the Contract Price then unpaid, or if the Contractor is otherwise in default of its obligations under the Contract.
If the foregoing causes for withholding are removed to the satisfaction of Soliciting Agency, the withheld payments will be paid promptly. If such causes are not promptly removed after written notice to Contractor, the Soliciting Agency may rectify the same at Contractor's expense and deduct all costs and expenses incurred thereby from such withheld payments or from any other monies due, or which may become due, to Contractor. If the amount of such withheld payments or other monies due Contractor under this Contract is insufficient to meet such costs, or if any claim against Contractor is discharged by Soliciting Agency after final payment is made, the Contractor and its guarantors or sureties, if any, shall promptly pay Soliciting Agency all costs incurred thereby regardless of when such claim arose or whether such claim imposed a lien upon the Permanent Works or the real property upon which the Permanent Works are situated or any other property belonging to the Royal Commission.
P-4  ASSIGNMENT OF MONIES
Contractor shall not assign monies due, or to become due, to it under this Contract except to the Contractor's Bank without the prior written consent of Soliciting Agency. In the event that Soliciting Agency consents to such assignment of monies, written notice thereof shall be given to Soliciting Agency at least ten (10) days before payment is due.
Any assignment of monies shall be subject to all proper set-offs in favor of Soliciting Agency and to all deductions and withholdings provided for in this Contract.
